BYLAWS OF FORCE CLUB ASSOCIATION

ARTICLE I. GENERAL PROVISIONS, PURPOSES, AND LEGAL STATUS

Section 1.1. Nature and Purpose of the Association
FORCE CLUB Association (hereinafter referred to as the "Association") is a professional organization that unites entrepreneurs with internationally recognized achievements in business and management. Membership is granted exclusively to candidates who have demonstrated a high level of professional accomplishments, including: annual revenue of at least one million United States dollars, participation in international conferences, industry publications, prestigious awards, or other recognition from the business community. The purpose of the Association is to facilitate the continued growth of these leaders through strategic partnerships, knowledge exchange, and implementation of collaborative initiatives on the international stage.

Over four years of operation, the Association has established an outstanding reputation within the professional community, bringing together industry leaders whose achievements have gained recognition at both national and international levels. As a member of an international alliance of entrepreneurial clubs, FORCE CLUB maintains the highest standards of professionalism and creates a unique ecosystem for business development, expertise exchange, and strategic partnership building.

Section 1.2. Membership Composition
The Association unites entrepreneurs from various economic sectors who develop sustainable businesses, have demonstrated outstanding achievements, and adhere to high standards of business ethics. Members of the Association possess verified experience in strategic management, project scaling, innovation implementation, and sustainable leadership in their respective industries. The Association forms a community oriented toward developing international connections, exchanging expertise, and implementing collaborative initiatives.

Section 1.3. Corporate Name
The full corporate name of the Association is FORCE CLUB.

Section 1.4. Principal Office
The principal office of the Association is located in Minneapolis, State of Minnesota, United States.

Section 1.5. Legal Status and Incorporation
The Association is incorporated under the laws of the State of Minnesota as a private organization operating to support the entrepreneurial community.

Section 1.6. Corporate Powers
The Association possesses full corporate powers, including the authority to enter into contracts, own property, maintain bank accounts, and participate in legal relationships.

Section 1.7. Limited Liability
Members of the Association shall not be liable for the obligations of the Association, nor shall the Association be liable for the obligations of its members.

ARTICLE II. MEMBERSHIP: CRITERIA, SELECTION, AND LEVELS

Section 2.1. Membership Conditions and Selection Process
Section 2.1.1. Eligibility Requirements
Membership in the Association is limited exclusively to entrepreneurs with a high level of competence and demonstrated talent in business operations. A prerequisite for admission is achieving sustainable results in the form of annual company revenue of not less than one (1) million United States dollars.
Section 2.1.2. Application Process
The admission process includes:
2.1.2.1. Submission of supporting documentation: candidate biography, business structure, employee information, financial statements (bank statements, tax returns, and other relevant documents);
2.1.2.2. Minimum of three (3) years of business experience and participation in industry events: masterclasses, conferences, seminars, or possession of publications in industry publications, official awards (national or international), or documented recognition from industry associations and organizations;
2.1.2.3. Compliance with applicable laws, business transparency, and clear business reputation;
2.1.2.4. Completion of an interview (in-person or online) with the Membership Committee;
2.1.2.5. Final admission decision made by the Board of Directors following analysis of the candidate's professional achievements, with mandatory assessment of their contribution to industry development, documented and verified by experts.
Section 2.1.3. Additional Requirements
Candidates must also comply with these Bylaws and internal Association documents, including admission procedures, registry maintenance, and internal regulations.
Section 2.1.4. Voluntary Nature of Membership
Admission is voluntary and undertaken at personal initiative.
Section 2.1.5. Special Interest Groups
For enhanced engagement and increased involvement, members may be organized into thematic subgroups based on interests and areas of activity.
Section 2.2. Membership LevelsSection 2.2.1. Membership Categories
The Association provides the following membership levels:
• Level 1: Members with annual revenue from 1millionto1millionto
5 million USD
• Level 2: Members with annual revenue from 5millionto5millionto
10 million USD
• Level 3: Members with annual revenue from 10millionto10millionto
15 million USD
• The One: Members with annual revenue of $15 million USD and above
Section 2.3. Level AdvancementSection 2.3.1. Advancement Process
Level advancement is accomplished based on:
2.3.1.1. Submission of application by the member for the next level;
2.3.1.2. Provision of supporting documents demonstrating achievement of corresponding financial results;
2.3.1.3. Decision by the Board of Directors and/or existing members of the corresponding level based on voting.
Section 2.3.2. Advancement Criteria
Criteria for level advancement include:
2.3.2.1. Demonstration of leadership in the professional community through participation in industry initiatives;
2.3.2.2. Contribution to the development of other Association members through mentorship or collaborative projects;
2.3.2.3. Innovative achievements in real estate or related disciplines;
2.3.2.4. Active participation in Association development and initiatives;
2.3.2.5. Recognition of member achievements by the external professional community.
Section 2.4. Withdrawal and TerminationSection 2.4.1. Voluntary Withdrawal
Voluntary withdrawal may be accomplished upon written request by the member.
Section 2.4.2. Involuntary Termination
Termination may occur by decision of the Board of Directors or General Assembly for violations of Bylaws provisions, ethics, systematic failure to fulfill obligations, or actions that discredit the Association.
Section 2.5. Member Engagement and Development PrinciplesSection 2.5.1. Active Participation Requirement
Members are required to actively participate in community activities.
Section 2.5.2. Professional Development Commitment
Association members commit to continuous professional development and strive to contribute to community development through mentorship, investments, launching collaborative initiatives, and participating in value transmission to future generations.
Section 2.5.3. Special Interest Groups
Division of members into interest-based subgroups facilitates deeper interaction and growth of key performance indicators.
Section 2.5.4. Leadership Development
The Association encourages development of leadership qualities and active member participation in shaping the future of entrepreneurship.
Section 2.5.5. Performance Analysis and Reporting
Regular analysis and reporting on member performance results is conducted for development and efficiency improvement purposes. Members are organized by generations (Gen 1, Gen 2, etc.) based on admission date. This system strengthens the culture of continuity, whereby experience and values are transmitted from senior generations to new ones.
Section 2.6. Member RightsSection 2.6.1. Participation Rights
Members have the right to participate in events and initiatives organized by the Association.
Section 2.6.2. Support Services
Members have the right to receive informational, expert, and mentorship support provided by the Association and its members.
Section 2.6.3. Initiative Rights
Members have the right to propose initiatives and programs aimed at Association and community development.
Section 2.6.4. Voting Rights
Members have the right to participate in voting on key issues, including admission of new members, approval of programs and development directions.
